Why Convert to a Private Limited Company?

As your business grows, a sole proprietorship might limit your ability to raise capital or protect your personal assets. A Private Limited (Pvt Ltd) company offers:

  1. Limited Liability: Your personal assets are protected from business debts.
  2. Better Funding Opportunities: Investors prefer the corporate structure of a Pvt Ltd company.
  3. Perpetual Succession: The company continues to exist even if the owner changes.

The Conversion Process

A sole proprietorship cannot simply re-register as a company. Section 366 of the Companies Act 2013 allows an existing business entity to register as a company only when it has two or more members, and a proprietorship has one owner. So the route is to incorporate a new private limited company and then move the proprietorship's business into it. Our private limited company registration service handles the incorporation steps below.

StepWhat happensLegal basis
1. DSC and DINAt least two directors, one resident in India for 182 days or more; each gets a DIN and a DSCSections 149(1)(a), 149(3), 152(3), Companies Act 2013
2. Name approvalName applied for through RUN and reserved for 20 days from approvalSection 4(5)
3. MOA and AOACompany constitution drafted, with at least two subscribersSection 3(1)(b)
4. IncorporationDocuments and declarations filed with the Registrar; certificate of incorporation issuedSection 7
5. Business transferBusiness, assets and contracts move to the company, which takes its own GST registrationSection 22(3), CGST Act 2017

Step 1: Obtain DSC and DIN

A private company needs at least two directors (Section 149(1)(a)), and at least one of them must stay in India for 182 days or more in the financial year (Section 149(3)). No one can be appointed a director without a Director Identification Number (Section 152(3)). Each director also needs a Digital Signature Certificate (DSC) to sign the MCA e-forms. See our guide to digital signature certificates for company compliance.

Step 2: Name Approval

Choose a unique name and apply for reservation through the MCA's RUN service. Under Section 4(5), an approved name is reserved for 20 days from approval, so keep the incorporation documents ready before you apply.

Step 3: Drafting MOA and AOA

The Memorandum of Association (MOA) and Articles of Association (AOA) define the company's constitution and internal rules. A private company needs at least two subscribers to the memorandum (Section 3(1)(b)), so the proprietor brings in at least one more shareholder.

Step 4: Filing for Incorporation

File the MOA, AOA, the declarations and the directors' identity and address proofs with the Registrar under Section 7. Once the certificate of incorporation is issued, the company can take over the proprietorship's business, assets and contracts and open its own bank account. The company is a new legal person, so it needs its own GST registration: under Section 22(3) of the CGST Act, the transferee of a business is liable to be registered from the date of the transfer. Our step-by-step private limited company registration guide walks through each form.

Conclusion

Converting to a Private Limited company is a significant milestone for any entrepreneur. While the process involves several legal steps, the benefits of scale and protection are well worth the effort.

Frequently Asked Questions

Can a sole proprietorship be converted directly into a private limited company?

Not under Section 366 of the Companies Act 2013, which lets an existing business entity register as a company only if it has two or more members. A sole proprietorship has one owner, so a new private limited company is incorporated and the proprietorship's business is then moved into it.

How many directors and shareholders does the new private limited company need?

At least two directors (Section 149(1)(a) of the Companies Act 2013) and at least two subscribers to the memorandum (Section 3(1)(b)). At least one director must stay in India for 182 days or more in the financial year (Section 149(3)).

Do the directors need a DIN before incorporation?

Yes. Section 152(3) of the Companies Act 2013 says no one can be appointed a director without a Director Identification Number. Each director also needs a Digital Signature Certificate to sign the MCA e-forms.

How long is the approved company name reserved?

Under Section 4(5) of the Companies Act 2013, the Registrar reserves an approved name for 20 days from the date of approval, or any other period prescribed. The incorporation application should be filed within that window.
